    Susan focuses her practice on foreign investment, outbound investment, cross-border project management and financing. She has 17 years of professional experience in Europe and China. She has dedicated experience in cross-border M&A and outbound investments, specializing in strategic legal counsel for enterprises expanding globally. Many of her clients’ outbound investment projects have been industry-leading transactions across a broad range of sectors, including energy, oil and gas, minerals and other natural resources, bioscience, intelligent manufacturing, big data, e-commerce, media and agriculture. Through extensive hands-on outbound investment work, she has served as lead counsel and worked closely with overseas counsel to develop a one-stop service model tailored to client needs.

    Selected Outbound Investment Matters

    · Bosai Minerals: Acted as PRC lead counsel on more than USD 1.5 billion of mining investments in East Asia, including due diligence, drafting and negotiation of transaction documents, company establishment and government approvals.

    · BOE: Acted as PRC lead counsel on the acquisition of a synergistic U.S. target company, providing full-process services including CFIUS review, due diligence, drafting and negotiation of transaction documents.

    · Genertec: Acted as PRC lead counsel, working with UK and Italian counsel, on the equity sale by its European company of an Italian photovoltaic power plant project at ready-to-build stage, and provided relevant legal opinions.

    · CNPC: Acted as PRC lead counsel on the restructuring of oil and gas equipment assets in Kazakhstan, including due diligence, negotiations, drafting of transaction documents and closing.

    · Workman: Acted as PRC lead counsel on greenfield photovoltaic investments and EPC+F construction projects in Hungary. The team provided full-scope outbound investment services, including investment structure design, EPC+F model design, legal environment research, drafting and negotiation of the full suite of EPC+F project documents, domestic ODI approvals, EU FDI screening and approval, and tax planning.

    · CFMOTO: Acted as PRC lead counsel on its investment in, and construction of, a manufacturing facility in Mexico and on drafting and negotiating the joint venture agreement.

    · Genertec: Acted as PRC lead counsel on matters relating to assets in Brazil, Germany and Hong Kong.

    · TZCOActed as PRC lead counsel on the disposal of vessel assets in Mexico, and participated in negotiations and in the drafting, revision and signing of transaction documents in Mexico.

    · CUCBM: Acted as PRC lead counsel on the risk assessment of a Russia oil and gas project included in a 2021 national scientific research program, issued a risk assessment report described by the client as “providing important support for the project”, and authored the article “Research on the Legal Regime for Upstream Oil and Gas in Russia”, published in International Petroleum Economics.

    · MinmetalsRepresented the client as the lead investor in establishing an overseas joint venture for a consortium of Chinese enterprises, and assisted with the acquisition of shares in a Peruvian copper mine for more than USD 5 billion. Susan was named as a key member of the cross-border transaction team by the overseas legal magazine Latin America that year.

    · CNOOCRepresented China's largest offshore crude oil and natural gas producer in acquiring assets and interests under a development sharing contract involving U.S. bankruptcy proceedings. This was CNOOC's first acquisition through U.S. bankruptcy proceedings of an overseas developer's interests in a development contract, involving extensive communications with the U.S. bankruptcy administrator on transaction structure, coordination of consents from domestic and overseas creditors, and complex issues relating to transaction structure, process and overseas litigation procedures under the social responsibilities of Chinese state-owned enterprises and PRC law.

    · Weichai Power: Represented the client in its acquisition, for more than USD 600 million, of shares and assets of Kion, a German global leader in hydraulic technology, from KKR and Goldman Sachs, obtaining a controlling stake. The project involved business carve-outs and share and asset acquisitions, as well as a series of restructurings relating to outbound investment, a newly established overseas joint venture and a domestic Chinese joint venture. The project was selected by CCTV as a successful case of Chinese companies going global.

    · CCTV and CAD Fund: Represented the clients, investing through a consortium, in the USD 280 million acquisition of a South African print media company.

    · A private energy company: Represented the client in its EUR 680 million acquisition of a Romanian oil platform owned by a subsidiary of Kazakhstan's national oil company.

    · Huawei Europe: Represented the client in negotiating and revising IT services agreements in Poland and Germany.

    · A private energy company: Provided legal services for the client's subscription to a Central and Eastern Europe sovereign fund initiated by ICBC, including negotiations and transaction structure design.

    · Foton Motor: Advised the client on the merger by absorption of its German subsidiaries and on the acquisition of one subsidiary by German company executives; also represented the client in acquiring shares and intellectual property of a well-known European brand, including structure design for the project company.

    · Inspur GroupAdvised the client on the implementation and operation of investments in Hungary, Poland, Germany and other jurisdictions.

    · A private company: Provided legal services for the client's investment in Turkey and the establishment of a Central and Eastern Europe investment fund with a size of USD 2 billion.

    · GenertecProvided legal services for multiple investment projects and asset disposals in Europe.

     

    Selected Foreign Investment Matters

    · CITIC Construction: Represented the client in establishing a new joint venture with Yunnan State Farms Group to engage in agricultural product processing, transportation and export.

    · CITIC Construction: Represented the client in establishing the Kashgar beef cattle base project with a holding company under the Xinjiang SASAC, with a total investment of RMB 5 billion, including the full project process from establishment and negotiation to drafting and revising transaction documents.

    · CITIC Construction: Represented CITIC Construction in all legal matters relating to its establishment of a joint venture with a Singapore real estate developer, including joint venture negotiations, drafting and revision of transaction documents, and antitrust filings.

    · A Sino-U.S. joint venture: Represented the client in establishing a new joint venture and building its legal compliance and risk control system, including data compliance, export controls and sanctions compliance.  

    · Nissan Motor: Represented the client in the restructuring and asset sale of the Dongfeng Nissan joint venture with its Chinese partner.

    · Altera: Represented the client, a leading U.S. listed company focused on semiconductors, in its foreign direct investment in China, including the establishment of wholly foreign-owned enterprises, joint venture negotiations and preparation of transaction documents.

    · Prysmian Group: Represented the client, an Italian listed company engaged in cable manufacturing, energy solutions, telecom cables and systems, in establishing joint ventures and wholly foreign-owned enterprises in China and in its long-term operations and transactions in China.

    · Fiat: Represented the Italian automobile manufacturer in conducting due diligence, negotiations and preparation of transaction documents for its joint venture in China.

    · Vitrolife: Assisted the client with an overseas acquisition and advised on foreign investment national security review and antitrust filings.
